Subject: Continuance of the Missionary Society as a corporation under the Canada Not-for-profit Corporations Act.

Be it resolved that the members of The Missionary Society of The Anglican Church of Canada
authorize the Board of Directors of the Society, at such time as the Board considers appropriate, to apply for continuance of the Society as a corporation under the Canada Not-for-profit Corporations Act.

EXPLANATORY NOTE/BACKGROUND INFORMATION:
The Missionary Society was incorporated by a special Act of Parliament in 1903. In 2009 Parliament passed new legislation respecting not-for-profit corporations. Although the law is not yet in force it will probably be proclaimed within the next year. At some time it will be desirable, or required, that the Society apply to be continued as a corporation under the new legislation. This resolution will authorize the Society’s Board of Directors to make such an application when it is appropriate, or necessary, to do so.
